PURCHASE TERMS

  1. TERMS AND DEFINITIONS


1.1. "GraSole" e-shop or Online store - is a retail store located at www.grasole.com.

1.2. Buyer – a person who purchases or orders goods, or uses other services provided in the Online Store. Legal entities and fully capable natural persons, i.e., persons who have reached the age of majority and whose capacity is not restricted by court order, minors aged fourteen to eighteen years, only with the consent of their parents or guardians, except when they independently dispose of their income, and legal entities acting themselves or through authorized representatives, are entitled to purchase in the "GraSole" e-shop. By placing an order, the Buyer unconditionally confirms that he/she has the right to purchase in the "GraSole" e-shop.

1.3. Seller – MB „Mp gamyba“, legal entity code: 305224521, VAT code: LT100015763512, registered office address: Latvių g. 19A-7, LT-08113 Vilnius.

1.4. Personal data – any information that can be used to identify a person, as well as any information about a person who is already identified. How the Buyer's personal data is processed is described in the Privacy Policy.

1.5. In-store pickup – refers to picking up an order placed in the "GraSole" e-shop at the physical store located at Statybininkų g. 1-102, LT-03205 Vilnius, Lithuania.

1.6. Delivery – is the delivery of goods ordered by the Buyer to the address specified by the Buyer in the order.

1.7. Rules – these terms and conditions for using the "GraSole" online store www.grasole.com.


  1. GENERAL PROVISIONS


2.1. These rules (hereinafter – the Rules) of the "GraSole" online store (hereinafter – the e-shop), located at www.grasole.com, are an integral part of the distance contract concluded between the parties – the Buyer and the Seller – on the basis of an order placed in the "GraSole" e-shop.

2.2. A distance contract is considered concluded when the Buyer forms and submits an order for goods or services in the "GraSole" e-shop, makes payment in accordance with the procedures and terms established in the Rules (when the Buyer has chosen to pay for the goods at the time of order), and "GraSole" sends a confirmation to the email address provided by the Buyer that the Buyer's order has been accepted and commenced. The contract remains valid until its fulfillment or termination in accordance with the procedures established by the Rules or legal acts. Violation of the Rules may be considered a ground for terminating the distance contract.

2.3. The Rules are a binding document for the parties, which establishes the rights and obligations of the Buyer and the Seller, the conditions for purchasing and paying for goods, the procedure for delivery and return of goods, the liability of the parties, and other provisions related to the purchase and sale of goods in the "GraSole" e-shop.

2.4. The Seller has the right to amend or supplement the Rules at any time, or to present the Rules in a new edition, or to abolish the Rules. The Buyer will be informed about any changes, corrections or additions when he/she wishes to confirm his/her order in the "GraSole" e-shop www.grasole.com, and will be able to agree or disagree again (in case of disagreement, the Buyer will not be allowed to place an order) with the amended provisions of the Rules. The amendment of the Rules is valid only with respect to those ordered goods that were ordered after the amendment of the Rules.

2.5. This version of the Rules is valid from October 1, 2024, and it replaces all previous versions of the rules that were in effect for orders placed in the "GraSole" e-shop.

2.6. By placing an order, the Buyer confirms that he has read, understood, and agrees to the Rules (consent is expressed by ticking the box next to the statement "I have read and agree to the Online Store's rules and its buyers' Privacy Policy"). Until the Buyer has read and agreed to the Rules, the Buyer is not allowed to place orders in the "GraSole" e-shop.

2.7. The Seller assumes no risk or liability and is unconditionally released from it if the Buyer has partially or fully failed to familiarize himself with the Rules and the Privacy Policy, although such an opportunity was provided to him.

2.8. The Seller sends all notifications to the Buyer to the email address provided by the Buyer in the order form. The Buyer sends all notifications and questions using the contact methods indicated in the "STORE IN VILNIUS" section of the "GraSole" e-shop website.

2.9. "GraSole" has the right to restrict the Buyer's use of "GraSole" e-shop services or cancel the Buyer's order without notice if the Buyer uses the "GraSole" e-shop in violation of these Rules, attempts to harm the stability and/or security of the "GraSole" e-shop or "GraSole" operations.

2.10. In the event of force majeure circumstances, "GraSole" has the right to suspend the performance of the contract until the force majeure circumstances cease to exist, by notifying the Buyer of the suspension of the order execution. If the Buyer is no longer interested in the subsequent performance of the contract, then the Buyer has the right to withdraw from the contract by notifying the "GraSole" administration in writing by email: studija@grasole.com. If "GraSole" ceases its activities, but it is possible to fulfill confirmed orders, all rights and obligations provided for in these rules or applicable legal acts related to already executed or ongoing orders remain valid.

2.11. The Seller may temporarily or permanently cease the operation of the Online Store without prior notice to the Buyer. In such a case, all rights and obligations provided for in these Rules or applicable legal acts, related to already executed or ongoing orders, remain valid.


  1. PERSONAL DATA PROTECTION


3.1. When ordering goods, the Buyer must provide his personal data necessary for the proper fulfillment of the goods order in the relevant information fields provided by the Seller: name, surname, goods delivery address, phone number, and email address. The Buyer is responsible for providing accurate, correct, and complete information. The Seller will in no case be liable for damages incurred by the Buyer and/or third parties due to the Buyer providing incorrect and/or incomplete personal data.

3.2. The Buyer's personal data specified in clause 3.1 may be processed in the "GraSole" e-shop for direct marketing, advertising, and information provision to the Buyer within the scope of "GraSole" activities automatically. The Buyer may revoke his automatically assigned consent by informing the "GraSole" administration by email: studija@grasole.com.

3.3. By agreeing to the processing of his personal data for the purpose of selling goods and services in the "GraSole" e-shop, the Buyer also agrees to receive informational messages to his specified email address and phone number, which are necessary for the fulfillment of the goods order.

3.4. The Seller has the right to collect and process personal data provided by the Buyer in the "GraSole" e-shop, and, if necessary, disclose them to third parties when it is necessary for the fulfillment of the order, data processing, or planning and analysis of "GraSole" activities. The Buyer's personal data is used to identify the Buyer and the recipient of the goods, to submit and deliver the order, to prepare an invoice, to return money paid for returned goods and overpaid amounts, to administer financial and other obligations arising from the Rules and the distance contract, and to ensure other services provided in the "GraSole" e-shop. In all other cases, the Buyer's personal data may be disclosed to third parties only in accordance with the procedure established by the laws of the Republic of Lithuania.

3.5. The Buyer has the right to prohibit the collection and processing of his personal data at any time, except when it is necessary for the fulfillment of requirements arising from the contract concluded between the Buyer and the Seller or for the fulfillment of the order. Data about "GraSole" e-shop Buyers and visitors is protected from loss, unauthorized use, and alteration. More detailed information about personal data processing is provided in the "GraSole" privacy policy, published in the "Privacy Policy" section of the "Grasole" e-shop website.

3.6. The Buyer's identification document submitted to the Seller and the Buyer's data contained therein are used solely for proper identification of identity.


  1. BUYER'S RIGHTS


4.1. The Buyer has the right to purchase goods in the "GraSole" e-shop under the conditions set forth in these Rules and the sales conditions applicable in the "GraSole" e-shop at the time of a specific purchase.

4.2. The Buyer – consumer (in accordance with Article 6.2281(2) of the Civil Code of the Republic of Lithuania, a consumer is a natural person who, for purposes unrelated to his business, trade, craft, or profession (for consumption purposes), seeks to conclude or concludes contracts) has the right, without stating a reason and without incurring other costs, except for direct costs of returning goods, to withdraw from the distance contract, with the exceptions provided for in clause 4.3 of the Rules; however, the Seller may not refund the money until he receives the goods or receives proof that the goods have been sent.

4.3. The Buyer – consumer's right to withdraw from a distance contract does not apply to the following contracts:

4.3.1. contracts for goods that are perishable or have a short shelf life (when less than 3 months remain until the expiration date of the product);

4.3.2. contracts for packaged goods which were unsealed after delivery and thus are not suitable for return due to health protection or hygiene reasons;

4.3.3. contracts for goods which, after delivery, according to their nature, are inseparably mixed with other items;

4.4. The withdrawal period for a distance contract, as specified in clause 4.2 of the Rules, expires after fourteen days: in the case of a sales contract, from the day on which the Buyer – consumer or a person designated by the Buyer – consumer, other than the carrier, receives the ordered goods or: a) if the consumer ordered more than one item in a single order and the items are delivered separately, from the day on which the consumer or a person designated by the consumer, other than the carrier, receives the last item; b) if the item is delivered in different batches or parts, from the day on which the consumer or a person designated by the consumer, other than the carrier, receives the last batch or part; c) if a contract for regular delivery of goods over a specified period is concluded, from the day on which the consumer or a person designated by the consumer, other than the carrier, receives the first item.


  1. BUYER'S OBLIGATIONS


5.1. The Buyer, when using the "GraSole" e-shop, undertakes to comply with these Rules and not to violate the laws of the Republic of Lithuania.

5.2. The Buyer must accept the goods and pay the agreed amount for them in accordance with the procedure established by these Rules.

5.3. If the data provided by the Buyer in the goods order form changes, he must update them without delay.

5.4. If the Buyer refuses to accept the goods without valid reasons during the goods delivery, the Buyer must cover the goods delivery costs.


  1. SELLER'S RIGHTS


6.1. If the Buyer attempts to harm the operational stability and security of the "GraSole" e-shop or violates its obligations, the Seller has the right to immediately and without warning restrict or suspend the Buyer's ability to use the "GraSole" e-shop.

6.2. In unforeseen circumstances, the Seller may temporarily or permanently cease the operation of the "GraSole" e-shop without prior notice to the Buyer.

6.3. The Seller has the right to cancel the Buyer's order without prior notice if the Buyer does not pay for the goods within 3 (three) days from the moment the order is placed.

6.4. "GraSole" reserves the right not to apply a delivery fee if the order amount reaches or exceeds a certain order amount unilaterally determined by "GraSole".


  1. SELLER'S OBLIGATIONS


7.1. The Seller undertakes to provide the Buyer with the opportunity to purchase goods and use the services provided by the "GraSole" e-shop under the conditions set forth in these Rules and the "GraSole" e-shop.

7.2. The Seller undertakes to respect the Buyer's right to privacy regarding his personal information, i.e., to process the Buyer's personal data only in accordance with the procedure established by the Rules and the laws of the Republic of Lithuania.

7.3. The Seller undertakes to deliver the goods ordered by the Buyer to the address specified by him under the conditions specified in the Rules.

7.4. If the Seller is unable to deliver the goods ordered by the Buyer due to important circumstances, the Seller undertakes to refund the money paid by the Buyer within 7 (seven) working days (if an advance payment was made), calculated from the date of receipt of the returned goods.


  1. PRODUCT PRICES, PAYMENT PROCEDURE AND TERMS


8.1. Product prices in the "GraSole" e-shop and in the placed order are indicated in euros. All prices are presented with any type of value-added or other taxes. Products are sold at prices valid at the time of placing the order. Bank fees may apply depending on the bank whose services the Buyer uses.

8.2. The Buyer can pay for the goods in one of the following ways:

8.2.1. payment using the electronic banking system – this is an advance payment through the electronic banking system used by the Buyer in a bank or bank branch with which the Seller has concluded a service agreement. Payment is considered executed when the Bank confirms to the Seller that the payment order has been successfully executed;

8.2.2. advance payment by proforma invoice through personal banking or credit card. You can pay with VISA or MASTERCARD cards. Card payments are only processed if the card issuing bank participates in secure online payment programs (MasterCard SecureCode or Verified by Visa). After entering your card details, you may be redirected to your card issuer's bank page to enter a security code, which is required to confirm your identity.

8.3. For the placed order, the Buyer can pay using the payment methods indicated in the "GraSole" e-shop payment methods menu (the "HOW TO BUY?" section of the "GraSole" e-shop website), or by direct transfer to the Seller's account. Payment can be made using the electronic banking services of Swedbank, Seb, Luminor, Citadele, Artea bank, and other banks.

8.4. Payments are accepted in Euro currency.

8.5. Payments are processed using MakeCommerce.lt or Paysera.lt payment platforms.

8.6. Payment for goods must be made before the goods are handed over to the courier.


  1. DELIVERY OF GOODS


9.1. A fee is applied for the goods delivery service, indicated in the "DELIVERY" section of the "GraSole" e-shop website and applicable at the time of placing the goods order.

9.2. Methods of delivery and collection of goods:

9.2.1. collection at the "GraSole" physical store at Statybininkų g. 1-102, LT-03205 Vilnius, Lithuania, during store opening hours;

9.2.2. collection at LP express or SmartPosti parcel lockers, which the Buyer selects during the order process from the list provided in the e-shop, or a Venipak parcel locker, which is automatically selected by the system based on the delivery address provided by the Buyer;

9.2.3. delivery by courier to the address specified in the Buyer's order throughout the territory of Lithuania;

9.2.4. international delivery via Lietuvos paštas (Lithuanian Post) to the address specified by the Buyer;

9.3. The Buyer, having chosen courier delivery, undertakes to specify an accurate delivery address and to collect the goods at the delivery time agreed upon with the courier. The Buyer must ensure that the goods are collected by the Buyer or another person to whom the Buyer has provided the order number at the delivery location specified during the order at the time agreed upon with the courier. By disclosing the order number to another person, the Buyer assumes responsibility and has no right to make claims against the Seller for delivery of the goods to an unsuitable entity.

9.4. Goods delivered to a parcel locker for the Buyer can be collected 24/7. Goods must be collected from the terminal no later than within the storage period specified by the parcel locker operator. When the shipment is delivered to the customer's chosen terminal, they are informed by a short SMS message and email, containing codes for collecting the shipment. The Seller does not assume responsibility for goods collected by another person to whom the buyer has provided the order collection codes. By disclosing the parcel locker door code or other order-related data to another person, the Buyer assumes responsibility and has no right to make claims against the Seller for delivery of the goods to an unsuitable entity. After the storage period expires, the shipment is returned to the Seller.

9.5. If the Buyer, having received notification that the item has been delivered to the selected parcel locker, fails to collect the shipment within the storage period specified by the parcel locker operator, the Buyer must cover the return and re-shipment costs to the Seller if they wish to receive the ordered item(s).

9.6. When accepting the purchased goods, before signing the delivery documents (if applicable), the Buyer has the opportunity to inspect the condition of the external packaging of the shipment, and if it is damaged, the Buyer has the right to inspect the contents of the order - the packaging of the goods, the quantity, quality, and assortment of the goods in the presence of the Seller's representative. If the Buyer notices defects in the goods or discrepancies in the shipment and order, the Buyer must refuse to accept the goods shipment and, together with the Seller's representative, fill out a special shipment inspection report, in which they must indicate the detected damages and inform the Seller about them by calling the phone number or sending an email to the address specified in these Rules. If the Buyer confirms the delivery documents without remarks, it is considered that the goods were delivered to them in full completeness and in an undamaged shipment package.

9.7. Delivery of goods to the address specified by the Buyer abroad (international delivery, customs and taxes):

9.7.1. The Buyer assumes full responsibility for tracking the location of the shipment outside Lithuania and the moment of its delivery.

9.7.2. The Buyer undertakes to familiarize themselves with the customs duties or import restrictions applicable in their country.

9.7.3. The Buyer assumes full responsibility for the payment of customs duties, import taxes, and other levies related to the import of goods, if such payments are applicable.

9.7.4. Free delivery promotions do not apply to orders abroad (outside the territory of Lithuania).

9.8. The exact delivery price of the goods and the preliminary delivery period are automatically calculated and presented to the Buyer in the online store before confirming the order (in the final order window). The delivery price and period depend on the delivery address (location) specified by the Buyer, the value and weight of the shopping cart, and the chosen delivery method.

9.9. By confirming the order, the Buyer expresses their consent to the formed terms, price, and deadlines of goods delivery.

9.10. If, due to unforeseen reasons or the fault of logistics partners, the delivery time changes, the Seller undertakes to immediately contact the Buyer and agree on a new delivery time or other terms of order fulfillment.

9.11. The Buyer agrees that in exceptional cases, the delivery of goods may be delayed due to unforeseen circumstances beyond the Seller's control. In such a case, the Seller undertakes to immediately contact the Buyer and agree on the terms of delivery of the goods or inform about it in advance on the www.grasole.com page.

9.12. In all cases, the Seller shall be released from liability for violating the terms of goods delivery if the goods are not delivered to the Buyer or are delivered late due to the fault of couriers (carriers) or the Buyer.

9.13. If it is not possible to deliver the ordered goods in one shipment, the Seller has the right to deliver the goods in several shipments.

9.14. Please note that if you cancel an order at a time when the shipment has already been packed and handed over to the courier, shipping costs are not refunded. This applies to all orders, both in Lithuania and abroad.


  1. ORDER FULFILLMENT


10.1. The Seller will make efforts to fulfill the Buyer's order in full, but cannot and does not provide any guarantees in this regard. If there is no remaining stock of the ordered item or a sufficient quantity of it at the order picking location, the Seller reserves the right not to deliver the item, to deliver a smaller quantity of the item, and to inquire with the Buyer before shipping whether the available set satisfies them. Upon receiving consent, the order is confirmed.

10.2. If the Buyer has paid for the goods at the time of ordering, the money for the goods paid for by the Buyer but not delivered by the Seller, as well as for similar goods returned by the Buyer at the time of shipment delivery, shall be paid into the Buyer's account within 7 (seven) working days.


  1. RETURN AND EXCHANGE OF GOODS


11.1. Defects of sold goods are eliminated, substandard goods are exchanged, returned in accordance with the Civil Code of the Republic of Lithuania and other valid legal acts of the Republic of Lithuania.

11.2. The Buyer – consumer has the right to notify the Seller by email at studija@grasole.com about the withdrawal from a distance contract by submitting a free-form written statement, indicating the item to be returned and its order number (or invoice number), except in cases where the contract cannot be withdrawn according to Article 6.228 (10) Part 2 of the Civil Code.

11.3. If the delivered item does not meet quality requirements, the Buyer has the right to submit a claim for the defect of the item within 2 years from the date of sale of the item. If a shelf life is set for the item, the buyer can make claims about the defects of such an item if the defects are found within this period.

11.4. Defective goods are returned by prior agreement on the time, address, and methods of return, or by delivering the goods to the "GraSole" physical store at Statybininkų g. 1-102, LT-03205 Vilnius, Lithuania. For goods returns, please contact "GraSole" using the contact methods provided in the "STORE IN VILNIUS" section of the e-shop website.

11.5. In accordance with paragraph 15 of the Retail Trade Rules, approved by Resolution No. 697 of the Government of the Republic of Lithuania on June 11, 2001, "Plants, animals and quality food products are not exchanged or returned".

11.6. Money paid for goods accepted by the Buyer but subsequently rejected shall be credited to the Buyer's account no later than within 14 (fourteen) days from the date of receipt of the Buyer's notification of withdrawal from the contract.

11.7. When returning quality non-food items that match the Buyer's order, the Buyer's paid delivery fee is refunded, unless not all items purchased by the Buyer in the same transaction are returned. The delivery fee is refunded along with other amounts paid by "GraSole" to the Buyer for the returned goods.

11.8. Money for returned non-quality food products and/or quality non-food products is always transferred by payment order and only to the payer's bank account.

11.9. Money for used and unused gift vouchers is not refunded or exchanged for cash.


  1. PRODUCT QUALITY GUARANTEE


12.1. Products are subject to the quality guarantee and/or shelf life provided by their manufacturer, the specific term (duration) and/or other conditions, including conditions for non-application of the guarantee, are indicated in the descriptions of such Products, on the Product packaging. If no manufacturer's quality guarantee is provided for certain types of Products, such Products are subject to a two-year statutory guarantee and a commercial guarantee from the manufacturer, which does not limit or restrict the rights of Buyers provided by the Civil Code of the Republic of Lithuania when purchasing a low-quality product.

12.2. The Seller undertakes to sell the goods to the Buyer in such a way that the Buyer has a real opportunity to use such goods until the expiration of their shelf life (no less than two months before the expiration date).

12.3. The Seller confirms that it is responsible for the sale of goods ordered in the "GraSole" e-shop, the quality of the goods, the proper fulfillment of return conditions, and the implementation of other rights and obligations of the seller provided by law.

12.4. The Buyer understands that the color, shape, and/or other parameters of the Products displayed in the "GraSole" e-shop may not match the actual forms, color, and/or other parameters of the Product due to the technical characteristics of the device used by the Buyer. Therefore, in case you need more detailed information, advice, or instructions regarding our Products, please contact the Seller directly using the contacts provided in the "GraSole" e-shop.

 

  1. LIABILITY


13.1. The Buyer is solely responsible for the accuracy of the personal data provided by him. If the Buyer does not provide accurate personal data, the Seller is not responsible for the consequences arising therefrom and acquires the right to demand compensation from the Buyer for direct losses incurred.

13.2. The Buyer is responsible for actions performed using this online store.

13.3. The Seller is released from any liability in cases where losses arise due to the Buyer, disregarding the Seller's recommendations and his obligations, not familiarizing himself with these Rules, although such an opportunity was provided to him.

13.4. In the event of damage, the culpable party shall compensate the other party for direct losses.

13.5. The Seller is not responsible for the proper fulfillment of mutual obligations between the Buyer and the Seller's partners whose services the Buyer orders.

 

  1. MARKETING MEASURES APPLIED BY THE SELLER


14.1. The Seller may, at its discretion, initiate various promotions on the online store www.grasole.com.

14.2. The Seller reserves the right, at its discretion, to introduce and/or withdraw offers, promotions, or change product prices at any time, without violating the Customer's rights, including the terms of the Agreement.


  1. USE OF COOKIES


15.1. In order to offer the Buyer or e-shop visitor full services available in the e-shop, the e-shop Administrator uses system cookies. Cookies are used to identify a previous e-shop visitor, determine the e-shop page language, identify the user session, session key, as well as to identify and correct errors in the e-shop.

 

  1. FINAL PROVISIONS


16.1. These rules are drawn up in accordance with the legal acts of the Republic of Lithuania.

16.2. Relations arising on the basis of these Rules shall be governed by the law of the Republic of Lithuania.

16.3. In the event of damage, the culpable party shall compensate the injured party for direct losses in accordance with the procedure and grounds established by the laws of the Republic of Lithuania.

16.4. All disputes arising from the execution of these Rules shall be resolved through negotiations. A Buyer who believes that their rights have been violated must contact the Seller in writing no later than 14 days from the date of the violation and state their claims. The Seller must, no later than within 14 days, examine the request free of charge and provide a detailed, motivated written response, if possible supported by documents.

16.5. In the event that the problem cannot be resolved, the Buyer has the right to apply to an out-of-court dispute resolution body for consumer disputes (State Consumer Rights Protection Authority, address A. Goštauto g. 12, 01108 Vilnius, Lithuania, www.vvtat.lt) or to court in accordance with the procedure established by the laws of the Republic of Lithuania.

16.6. Consumers applying to the State Consumer Rights Protection Authority for disputes should use the Consumer Rights Information System www.vtis.lt

16.7. For requests regarding goods/services purchased not in Lithuania, but in other EU member states, Norway, Iceland e-shops, consumers should submit them to the European Consumer Centre in Lithuania. The request form can be found here: https://ecc.lt/pateikti-skunda/

16.8. The Buyer, wishing to express their opinion, submit a complaint or feedback, can contact the Seller by email at studija@grasole.com or by phone +370 638 88999 on weekdays (Monday-Thursday: 9:00-18:00 and Friday: 9:00-17:00). A response to the Buyer's inquiry will be provided within 14 days.
